VF (J) FRANCE SAS, whose registered office is at 31-33 Rue du Louvre CS10203- 75002 PARIS, France VAT No. FR 78353238520 (hereinafter the “Promotion Company”), in cooperation with VF International SAGL, whose registered office is at Via Laveggio 5- 6855 Stabio, Suisse – VAT No. CHE-111.650.898, is organizing a contest called “Timberland Build Forward” (the “Contest”).

Entry into the Contest is free and no purchase is necessary, however the Contest requires participants to have access to the internet via their mobile device and their own Instagram account (the use of which is subject to Instagram’s own terms and conditions).

 

By entering into the Contest, participants will be deemed to have agreed to be bound by these Contest Rules.

 

Promotional Period

The contest will consist of two phases, as indicated in the table below.

Eligibility

Entry into this Contest is open to legal residents of the EU, the United Kingdom, and Switzerland, who are at least eighteen (18) years of age (hereinafter “Entrant/s”).
Entrants not resident in the EU, the United Kingdom, and Switzerland will not be entitled to enter the Contest.

 

Terms of participation for the “Win a Build Forward workshop and Timberland products” phase:

From 00.00 CET on 03/12/2021 to 23.59 CET on 08/12/2021, to participate in the Contest, Entrants must access the Instagram application on their mobile device, follow the Instagram accounts @Timberland_EU, @londonnationalparkcity, tag a friend who would like to participate in the workshop with them and reply, in a short comment, to the question pertaining to the Contest (hereinafter “Comment/s”).

 

Terms of participation for the “Win a pair of Timberland shoes” phase:

From 00.00 CET on 19/12/2021 to 23.59 CET on 21/12/2021, to participate in the Contest, Entrants must access the Instagram application on their mobile device, follow the Instagram accounts @Timberland_EU, @londonnationalparkcity, tag a friend they'd like to offer a pair of Timberland shoes to and reply, in a short comment, to the question pertaining to the Contest (hereinafter “Comment/s”).

 

Each Comment shared on Instagram via an Entrant's own account with the required tag and complying with the Contest Rules will be considered an entry into the Contest (“Entry”).

 

If Entrants do not have the Instagram app, they may download it through the application store on their device. The Instagram app is free.

 

Entering via Instagram, standard data fees may apply. Entrants should consult their network provider's pricing plan for details. Entrants agree to incur any and all charges demanded by their network provider and the Promotion Company shall in no way be liable to Entrants for the same.

 

 

The Promotion Company can distribute or share the Comments on its Instagram account

 

Restrictions:

Each Entrant/Instagram account shall not be awarded more than one (1) prize.

Entrants must have a basic level of spoken English (so they can participate in the Event activities, which may be offered in English).

Employees of the Promotion Company and all those involved in the organisation and management of the Contest are not allowed to enter the Contest.

 

Comment conditions

A Comment must meet the following requirements to be eligible for the Contest:

●      The Comment must be in a format compatible with Instagram and in accordance with Instagram’s own terms and conditions;

●      The Comment must be in one of the following languages: German, English, Spanish, French, Italian or Portuguese;

●      The Comment must show the Entrant’s creative and original artwork;

●      The Comment must be an original work and must not be taken from material found online or from other sources;

●      The Comment must not infringe another person's or entity's copyright, trademark, moral right, right of privacy or publicity, or other intellectual property right;

●      The following must not appear: third party brand products, competing brands, other names and logos, phrases or objects which are irrelevant to the Contest;

●      The Comment must not advocate the use of alcohol or drugs, acts of violence, dangerous stunts or illegal behaviours;

●      The Comment must not disparage or damage the goodwill and\or business reputation of the Promotion Company or its Timberland brand;

●      The Comment must not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous, libellous, promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and

●      The Comment must be in relation to the Contest theme.

 

The Promotion Company reserves the right to reject or disqualify any Submission or Comment which, in its sole discretion, it determines to be inconsistent with the spirit of the Contest or is potentially damaging to either the Promotion Company, the Contest’s, or any other third party's' image or reputation.

If the Promotion Company decides to reject or disqualify a Submission or Comment as it is found to be contrary to these Contest Rules, the Entrant shall lose his/her chance of winning one of the prizes on offer under the Contest.

 

Entrant liability with regard to their Comment

By entering the Contest, Entrants accept these Rules in their entirety and declare that:

a.       They are the author and owner of all copyright and intellectual property rights in the Comment shared on Instagram and that the Comments have not been copied or reproduced from any source or third parties;

b.      The Comment is original and has not been entered into other competitions or contests;

c.       The Comment does not contain material that is unlawful, in violation of or contrary to the laws or regulations of France or of any jurisdiction where the Comment was created;

d.      The Comment is not a reproduction and does not infringe upon any intellectual property rights, moral rights, copyrights, third party personal data protection rights, publication rights and in general terms that the Comment respects the provisions of law in regard to copyrights and any other regulations or laws in force;

e.      Each Entrant hereby grants to the Promotion Company a non-exclusive, royalty free licence to use, adapt, publish, modify, distribute, reproduce and display the Comment in whole or in part, on a worldwide basis, in perpetuity, and to incorporate it into other works, in any form, on media or technology now known or later developed, including, but not limited to, any and all internet media, including on the Contest Instagram channel, on Promotion Company’s website or related websites and other social networking platforms (i.e., Instagram, Facebook, Twitter, YouTube, Pinterest, TikTok, etc.), for any purpose whatsoever, including for promotional, advertising or marketing purposes (except where prohibited by law), until such time as the Entrant chooses to revoke such rights;

f.        They are wholly liable for the Comment shared and will consequently indemnify the Promotion Company against any liability it incurs as a result of the Comment failing to comply with the conditions set out in these Contest Rules;

g.       They agree, in principle, to take part in any reasonable publicity required by the Promotion Company, should they win one of the prizes available under the Contest. However, each Entrant reserves the right to refuse to participate in a publicity event. They shall be asked for a specific and expressed agreement if necessary in order to confirm this agreement in principle.

Each Entrant accepts that a breach or attempt to violate the conditions of these Contest Rules, in whole or in part, as well as non-compliance with the applicable laws and regulations, shall entitle the Promotion Company to immediately suspend the distribution of all content and to immediately remove the Entrant and/or their Comment from the Contest without prejudice to any other rights and/or remedies of the Promotion Company.

 

Win a Build Forward workshop and Timberland products:

Five (5) prizes will be awarded in this Contest.

Each prize consists of one (1) Build Forward online workshop, along with the materials needed to carry out the workshop activities, one pair of Timberland shoes and one item of Timberland clothing for the winner and the friend who was tagged.

The approximate value of the prize (estimate is for one person, so this amount must be multiplied by two to include the winner and their friend): shoes: €220/£180; item of clothing: €188/£160; workshop: €100/£85.

The winner does not have the right to transfer the prize and/or to award the prize to another person, and no cash or other alternative arrangements will be offered.

 

Timberland shoes prize:

The Contest prize consists of one pair of Timberland shoes for the winner and for the friend who was tagged.

If the winner decides to not claim the prize, regardless of the reason, the winner will have no right to any replacement prize and will not be able to claim a reimbursement and/or compensation from the Promotion Company.

The approximate value (estimate is for one person, so this amount must be multiplied by two to include the winner and their friend): €250/£212.

 

The method for awarding the prizes for the win a Build Forward workshop and Timberland products phase:

On or about 17/12/2021, a diverse and independent panel of judges, selected by the Promotion Company (“Judging Panel”) will evaluate all valid Comments correctly submitted in accordance with these Contest Rules.

Comments will be judged based on the following equally weighted judging criteria (“Judging Criteria”): relevance to the topic, originality, creativity and aesthetics.

The five (5) Comments with the highest score based on the Judging Criteria will be deemed to be the winners of the Contest.

The Judging Panel will also determine ten (10) runners-up in order of preference according to the Judging Criteria. A runner-up shall only be used if the winner fails to claim his prize in accordance with these Contest Rules, has already won a prize or is disqualified from the Contest for any reason.

The decision of the Judging Panel is final and binding with respect to all matters relating to the Contest.

In the event of not enough Entrants to award the prizes, the Promotion Company reserves its right not to award said prizes or to award fewer than five (5) prizes at its absolute discretion.

 

The method for awarding the phase Win a pair of Timberland shoes prizes

On or about 31/12/2021, a diverse and independent panel of judges, selected by the Promotion Company (“Judging Panel”) will evaluate all valid Comments correctly submitted in accordance with these Contest Rules.

Notification to the winners

The winners will be notified of their win by sending a direct (private) message over Instagram requesting their complete contact details.

Winners will have five (5) calendar days from being notified of their win to reply to the notification message accepting the Prize and providing all the information requested by the Promotion Company.

If any potential winner within five (5) calendar days of first notification attempt does not reply to the message, fails to provide the information requested, if any Prize or Prize notification is returned as undeliverable, if potential winner rejects his/her prize, or in the event of non-compliance with these Contest Rules and requirements, such prize will be forfeited and may be awarded to a runner-up.

The first runner-up with the highest score will be contacted in the same manner as described above and, if necessary, the process repeated until the prize is finally awarded to a runner-up.

In the event that having followed the awarding process described above, a prize cannot be given to a winner or runner-up, the Promotion Company reserves its right not to award said prize.

Upon prize forfeiture, no compensation will be given.

The Promotion Company reserves the right to require winners to provide a valid form of identification proving their age and identity before receiving their prize. Any identity verification document produced must be in the name of the person who has entered the Contest.

 

Personal Data

All information, including personal data, provided by an Entrant when registering for Contest (or provided in another manner during the Contest) will be saved and used by the Promotion Company, by companies belonging to its group, its suppliers and/or subcontractors required to manage the Contest, according to the Promotion Company’s privacy policies: https://www.timberland.fr/aide-et-contact/protection-des-donnees.html (“Privacy Policy”).

 

General

The Promotion Company reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Contest or these Contest Rules in the event of causes beyond its reasonable control corrupt or causes affecting the administration, security, fairness or proper conduct of the Contest. In such case, the Promotion Company may select the winner(s) from all eligible Submissions received prior to and/or after (if appropriate) the action taken by the Promotion Company.

To the extent permitted by law, upon suspension or cancellation, the Promotion Company cannot be held liable for any expenses incurred or damages suffered, whether direct, indirect, consequential or inconsequential, and the Promotion Company shall not be obliged to organize any alternative Contest or offer any alternative prize.

Any attempt by any Entrant to obtain more than the stated number of Submissions by using multiple/different Instagram accounts, identities or any other methods will void that Entrant's Submission and that Entrant may be disqualified. In the event of a dispute as to an Entry, the holder of the authorized account and of the Instagram account will be deemed to be the Entrant. Each winner may be required to show proof of being the authorized account holder.

The Promotion Company may prohibit an Entrant from participating in the Contest or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick Entry programs, multiple IG accounts) or intending to annoy, abuse, threaten or harass any other Entrants or Promotion Company representatives.

The Promotion Company reserves the right, at any time, to verify the validity of Submissions and Entrants (including an Entrant's identity, age and place of residence) and to disqualify any Submission that is not in accordance with these Contest Rules.

Save where the Promotion Company has been negligent, and to the extent permitted by law, the Promotion Company shall in no way be liable for any injuries, losses, damages or expenses suffered or incurred by any Entrant of the Contest, as a direct or indirect result of participating in this Contest and/or accepting a prize.

All costs related to participating in the Contest are to be borne exclusively by the Entrant, with the exception of all costs which the Promotion Company has accepted to cover in connection with the prizes. In no case can the Entrant reclaim the costs of participating from the Promotion Company.

Winners will be solely responsible for all applicable taxes, whether federal, national or local, relating to their prize.

The Promotion Company’s decision is final. No correspondence will be entered into except with the winners to notify them that they have won and to provide the prizes.

The prizes quoted are subject to availability and, in the event of unforeseen circumstances, or circumstances outside of the Promotion Company reasonable control, the Promotion Company reserves the right to amend, withdraw or substitute any part of this Contest and/or prize for an alternative arrangement of equal or greater value.

The prizes are not transferable, and no cash or other alternative arrangements will be offered.

Failure by the Promotion Company to enforce any of its rights at any stage does not constitute a waiver of those rights.

The Promotion Company shall make the name of the prize winners available upon an Entrant's request 60 days after the Promotion Period has closed.

If any term of these Contest Rules shall be found to be void or contrary to law, such section shall be considered invalid, but all unaffected sections shall remain in effect.

In case of discrepancy between the French and the translated versions of these Contest Rules, the French version prevails.

These Contest Rules shall be governed by the laws of France and the courts of Paris shall have non-exclusive jurisdiction.

TIMBERLAND CELEBRATE THE ICON COMPETITION OFFICIAL RULES

 

NO PURCHASE IS NECESSARY TO ENTER OR WIN.

PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

By taking part in the Timberland Celebrate the Icon Competition you accept and agree to be bound by these Official Rules and agree that all decisions of Sponsor are final and binding. These Official Rules apply only to the Celebrate the Icon Competition (as defined below, the “Competition”) and not to any other promotions, competitions, sweepstakes, or giveaways sponsored by Timberland.

SPONSOR: This Competition is sponsored by Timberland (VF Northern Europe Services ltd, Park Road East, Calverton, NG14 6GD Nottingham) (“Timberland” or “Sponsor”). This Competition is in no way sponsored, endorsed, administered by or associated with Twitter, Facebook, Instagram or any other social media platform.

COMPETITION PERIOD: The Competition begins on November 5, 2018 at 12:00 PM GMT and ends on December 2, 2018 at 11:59 PM GMT (the “Competition Period”).

ELIGIBILITY, RESIDENCY AND AGE FOR COMPETITION: The Competition is open to legal residents of United Kingdom who are subscribed to the database on the specific page where the content is hosted are entered and who are eighteen (18) years of age or older as of the date of entry.  Employees, officers, representatives or agents of Sponsor, Timberland, or their respective parent companies, players, subsidiaries, affiliates, competition agencies and production agencies, and such employees’ or players’ immediate family members (spouse, parents, siblings, children, in-laws, grandparents, grandchildren), are not eligible to enter.  This Competition is subject to all English laws and regulations.  VOID WHERE PROHIBITED, TAXED OR RESTRICTED BY LAW.

HOW TO ENTER THE COMPETITION:  Participants may enter by signing up to the Timberland Boot Club mailing list via the following page: http://www.timberland.co.uk/treehouse/celebrate-the-icons.html. No purchase necessary.

SELECTING THE COMPETITION WINNERS:  Upon the conclusion of the Competition Period, a panel of judges selected by Timberland in its sole discretion. Decisions of Timberland are final and binding.  At the end of the Competition Period, the prize winner will be selected from legal residents of the United Kingdom who have subscribed to the mailing list on the specific page where the content is hosted http://www.timberland.co.uk/treehouse/celebrate-the-icons.html

The winner (“Competition Winner”) will receive one (1) Pair of Yxng Bane’s personally designed Icon 6” boots in their requested size and one (1) signed 12” vinyl copy of Yxng Bane’s new single, “Slip n’ Slide”.

All winners are responsible for any and all other expenses related to their acceptance of any prize. Taxes associated with the receipt or use of the prize are the sole responsibility of the winner.

NOTIFICATION OF COMPETITION WINNERS: The Competition Winner will be notified by a Timberland representative via email, within 72 hours of the end of the Competition.

Before being declared a winner, the selected entrant will be required to sign an Affidavit of Eligibility, General Liability and/or Publicity Release where permitted by law and/or other documents as required by Sponsor.

PERSONAL DATA: Participants' personal data submitted in connection with the Competition will be retained by Sponsor in order to conduct the Competition and also for the purposes of mailing information about current promotions and products of Sponsor to participants.  All such personal data will be processed by Sponsor solely in accordance with its privacy policy, which can be found at https://www.timberland.co.uk/customer-service/privacy-policy.html . Participation in the Competition is deemed consent for Sponsor to make available the winners' name (as described below), to conduct post-event publicity (as described below), and to use the winner's name and address details, voice, visual and/or audio likeness and photographs for promotional and media purposes, in each case without any further reference or recourse to, and without payment or other compensation to, the winners.

HOW TO CLAIM THE COMPETITION PRIZE: To claim his/her prize, the Competition Winner must respond to the Timberland representative’s message via email with their desired boot size, within 48 hours. In the event a potential winner does not accept the prize or fails to comply with these rules and requirements, the prize will be forfeited. Upon prize forfeiture, no compensation will be given and an alternate winner may be chosen. Due to the custom sizing of the prize (Yxng Bane’s personally designed Icon 6” boots) we aim to deliver the prize to the competition winner with our best endeavours between six (6) to ten (10) weeks. The prize is non-transferable; the prize cannot be substituted for another prize; the prize cannot be sold; and the prize cannot be redeemed for cash from Sponsor. Sponsor reserves the right to substitute a prize of equal or greater value in the event that the Competition prize is unavailable. Failure by any Competition Winner to sign any requested documents or failure by any Competition Winner to comply with any terms in these Official Rules, may disqualify the winner in Timberland’s sole discretion and winner may forfeit his or her interest in the applicable prize. Limit one prize per person.

Sponsor reserves the right to review each email addresses and reject any email address in its sole discretion for any purpose or any reason without notifying the entrant. 

Sponsor and each of its respective affiliates, partners and competition and advertising agencies are not responsible for errors or failures of any kind, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or other errors of any kind, whether human, mechanical or electronic, which may occur in the distribution of prizes in this Competition.

Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend this Competition should it determine, in its sole discretion, non-authorized human intervention or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Competition. In such case, Sponsor will select the winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor.

Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Competition.  Additionally, Sponsor reserves the right to prosecute any fraudulent activities to the full extent of the law.

In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules or other statements contained in any Competition-related materials, the terms and conditions of these Official Rules shall prevail, govern and control.
